Job Purpose:

The position offers a commercially-minded finance lawyer the opportunity to manage a team supporting the structured products issuance and distribution activity of the Multi Asset Group (MAG), EMCT, FX and Rates businesses within the APAC Regional Markets & Securities Services Legal group.

Job Background/context:

Regional Markets & Securities Services Legal Department provides legal advisory and documentation services for markets sales and trading desks throughout the Asia Pacific region.

Key Responsibilities:

He or she will be responsible for managing Citi's structured issuance programmes and special purposes vehicle issuance programmes, preparing issuance documentation under those programmes, negotiating distribution agreements, advising the business on relevant legal and regulatory issues, platform development, website initiatives and marketing materials.The role will involve direct responsibility for transactions in APAC and regular contact with colleagues in the US and EMEA as well as management of a team of approximately four other team members in Mumbai.

Key responsibilities also include :

  • Maintaining an awareness of all relevant regulatory developments, assessing the impact on Citi's structured products activity and advising the business appropriately. Regulatory aspects include laws and regulations relating to the Prospectus Directive, PRIIPs, MiFID, EMIR and AIFMD to the extent relevant to the supported business activity

  • Supporting the business in strategic business initiatives, designing processes and procedures, including technology based solutions for documentation and trade lifecycle processes; and

  • Providing legal counsel to Citi's Manufacturing Products Approval Committee which considers the accuracy and completeness of structured financial products for different distribution channels

Development Value:

This is a legal position with responsibility for a significant area of Citi business activity which requires a high degree of legal support and expertise. The position will involve extensive contact with product developers, traders, salespeople and front and back office functions across the APAC region.   • 10-12 years of general financial law and transaction experience, with an emphasis on capital markets and debt issuance

  • Experience in private practice and/or in-house of drafting, structuring and negotiating documentation for transactions issued under debt issuance programs

  • Broad knowledge of financial services legal and regulatory issues


  • Excellent technical skills (including drafting skills), and analytical ability

  • Management experience or significant team leadership experience in the absence of formal people management

  • Strong business judgement and commercial attitude

  • Adaptability

  • Numeracy skills are advantageous but not a pre-requisite


The successful candidate will be educated to degree standard and will have obtained an appropriate legal qualification. In addition, the candidate should be well versed in capital markets law and regulation.
