As the Senior Tax Counsel, you're responsible for providing technical tax support for significant corporate transactions, optimizing tax structures, and assisting in developing, implementing, and defending tax positions and strategies aligned with the company’s commercial goals. Main responsibilities:

  • Support Senior Tax Leadership by developing and implementing tax planning strategies to reduce tax expense, eliminate tax exposures, minimize audit deficiencies, and maintain a competitive effective tax rate.

  • Lead all tax aspects of cross-border and domestic acquisitions, dispositions, complex licensing and collaboration arrangements, repatriation, and financing, including due diligence and post-acquisition planning and restructuring.

  • Develop, document, and defend technical tax positions, drafting memoranda and presenting conclusions and recommendations to Senior Management.

  • Develop and implement tax strategies tailored to the unique needs and goals of the business and industry.

  • Coordinate North America tax strategies with Global Tax and broader company-wide initiatives.

  • Monitor and evaluate changes in tax legislation, regulations, administration, and court decisions, including industry trends.

  • Manage and assist with federal, state and local, and foreign tax controversies.

  • Mentor a talented team of tax professionals, guiding, training, and fostering their professional growth and development.

About you:

  • Strong technical knowledge of international taxation, mergers & acquisitions, restructuring transactions, and partnership taxation.

  • An excellent foundation in federal corporate income tax analysis, including subchapter C, subpart F, BEAT, GILTI, foreign tax credits, withholding taxes, transfer pricing, hybrid entities and instruments, and bilateral tax treaties.

  • Ability to independently take charge of projects, identify crucial elements, and execute successfully in a timely manner.

  • Exceptional business partnering, negotiation, and written and verbal communication skills, specifically the ability to communicate highly technical matters to business partners around the world.

  • Ability to make sound logical informed decisions, assessing risk, eliminating exposures, and developing and documenting sophisticated positions.

  • Strong collaboration skills, partnering with multiple stakeholders across the organization and external partners, including a global network of legal advisors.

  • Law Degree, LLM with a strong background in Finance and Accounting preferred and a current Bar membership.

  • 10+ years of tax function experience at law firms, accounting firms, or an organization that operates in multiple countries including foreign subsidiaries.
